At the special meeting of the U.S. industrial group Hillenbrand, shareholders approved the acquisition proposal put forward in October by an affiliate of investment firm Lone Star Funds, at an enterprise value of approximately USD 3.8 billion (read article).
Votes in favor accounted for 99% of the ballots cast, representing about 83% of Hillenbrand’s outstanding common shares.
Completion of the transaction is expected by the end of the first quarter of 2026. Under the terms of the agreement, upon closing, Hillenbrand shareholders will receive USD 32 in cash, without interest and net of any applicable withholding taxes, for each common share held — a 37% premium over the closing price on August 12, 2025.
Hillenbrand supplies processing technologies and equipment through the Advanced Process Solutions and Molding Technology Solutions segments. Its best-known brands include Coperion (compounding extruders and feeders), Mold-Masters (hot runners), DME (mold cooling), Rotex (screening and sifting), Tirad (mold components and cooling systems), TerraSource Global (size reduction and bulk material handling), Abel and Red Valve (machinery components).
