The Italian chemical group COIM has reached a nonbinding agreement with Manali Petrochemicals (MPL) for the acquisition of Notedome, a UK company with more than 45 years of experience in the production of polyurethane systems, particularly high-performance cast polyurethane elastomers.
Under the agreement, the two companies will sign a binding share purchase agreement under which COIM will acquire 100% of the share capital of Notedome from Amchem, a Singapore-based company wholly owned by MPL.
The parties have agreed on a valuation of at least 8.5 times Notedome’s adjusted EBITDA, to be jointly determined.
The deal will be completed on a cash-free and debt-free basis, subject to customary closing conditions and shareholder approval.
According to a company statement, this strategic acquisition will allow COIM to strengthen its international presence in the polyurethane systems sector and further enhance its ability to supply products and services in key European markets.
Founded in 1962, COIM operates through 19 companies worldwide, with nine production sites and R&D centers, and employs more than 1,350 people. The company’s operations are structured into three main business lines: polyesters and polyols; polyurethane systems (coatings, adhesives, sealants, elastomers); and specialty resins.
